Preamble

Mews has launched a referral program aimed at rewarding participants who refer new hotels, hostels, and other properties to Mews, which could benefit from Mews´s products and services. These Terms outline all conditions of the referral program and constitute the binding agreement between Mews Systems B.V. (“we” or “Mews”), the operator of the referral program, and the participant making referrals (“referrer”). Additionally, these Terms apply to individuals who are referred by the referrer (“referee”) and provide Mews with their contact details so that Mews can contact them to discuss their interest in our solutions. 

1. How our program works  

To participate in our referral program, a referrer needs to register for a unique referral code and then share this code with referees. When the referee clicks on the referral code, they can sign up and provide Mews with their contact details, allowing us to get in touch with them. Once the referee has spoken to Mews and becomes a sales-qualified lead, meeting all other specified conditions below, the referrer will receive one of the available rewards. 

2. Who can be a referrer

Referrer must be: 

  • above 18 years old or the age of majority in your jurisdiction, and 
  • an employee or any other person associated with a company that is a current Mews' client or a Mews' partner 

3. Who cannot be a referrer

Referrer must not be:   

  • under 18 years old or the age of majority in their jurisdiction 
  • prohibited from participating in our referral program by any applicable law or regulations 
  • prohibited from participating in our referral program by any applicable policies of their employer or any other company they work for or cooperate with 
  • Mews' employee 

4. Who Can Be a Referee

The referrer can refer personal friends, family members, acquaintances, and colleagues from the hospitality industry who have connections with hotels, hostels, and other properties that may be interested in our solutions. 

5. Who Cannot Be a Referee

The referrer must not, at any time, refer a person who is unknown to them.

6. What Is a Sales Qualified Lead:

A sales qualified lead is a referee who meets all of these criteria: 

  • they sign up for our referral program and accept these Terms 
  • they complete an initial call with a member of our commercial team, and meet the sales qualification criteria to be considered a qualified opportunity including budget, authority, need and timeline.
  • they indicate during the initial call that the hotel, hostel, or other property they have identified as a prospective customer is interested in purchasing our solution and migrating to Mews' hospitality cloud. 

A referee cannot become a sales qualified lead if they identify a property as a prospective customer that  

  • is already an existing or past customer of ours. 
  • has been previously referred by someone else,  
  • has been already referred to us before the Effective Date of these Terms, or 
  • they identify a property that we are already dealing with as a prospective customer or have dealt with in the past. 

7. Reward Verification Process

Whether the referrer meets all criteria for receiving a reward will be verified by us at our sole discretion. We will do our best to finalize the verification process within 21 calendar days from the time the initial call with referee is completed. However, in some situations, we may reasonably extend this period without prior notice. 

8. Rewards

If the referrer meets the criteria for receiving a reward, we will provide them with one of the following rewards for each 'sales-accepted lead', based on their choice: 

  • a financial reward via a prepaid Visa card 
  • an eGift card 
  • a charity donation 

The value of each reward will be 250 EUR. However, Mews may offer increased rewards for limited periods. These will be communicated in your referral program invite. 

In some locations, not all options might be available. 

Referrers will receive a link via the email they registered with, directing them to a webpage where they can select their preferred reward. 

Rewards may be subject to tax based on the rules of the referrer's tax residency. Referrers are advised to consult their tax advisor. 

With regards to the distribution of rewards, no correspondence will be entered into between Mews and the referrer. Rewards are provided “as is” and we never refund or exchange them.  

Mews may request verification of the referrer's identity before the reward is provided to the referrer, and the referrer agrees to undergo this verification process. 

9. Requirements and Restrictions for Referrer

The referrer must: 

  • comply with these Terms,  
  • comply with all applicable laws and regulations,  
  • refrain from violating any third-party rights, such as copyright, trademark or other proprietary rights. 
  • respect the privacy rights of the referrer they invite to our referral program and direct to our website. 
  • when referring other people, the referrer must always inform them about the applicable terms and conditions and privacy policy. The referrer must do so before they participate in the referral program, and leave their personal information. 

The referrer must not: 

  • use our referral program for commercial purposes; it is intended solely for personal use. 
  • publish our referral program on sites or platforms hosting adult content, alcohol, tobacco, gambling, games and online casinos, political content, or any illegal activities. 
  • employ referral methods that are bothersome to recipients or violate applicable laws, including anti-spam legislation prohibiting mass distribution of unsolicited messages. 
  • create any materials that contain our branding, trademark, (part of) our corporate identity. 

10. Referee Acknowledgements

The referee acknowledges and agrees: 

  • that it agrees to provide correct and up to date contact details to Mews, 
  • that Mews can contact them to provide more details about Mews products and services, 
  • that it has read these Terms and agrees to comply with them 
  • the referrer may receive a reward for referring the referee, and 
  • we have no obligation to contact them or sell our products or services to them. 

11. Term and Termination

Our referral program will run until the announced end date. The announced end date may be extended to a later date or restricted to end earlier than initially announced.  

We may, at our sole discretion, end the referral program with immediate effect at any time.  

Once our referral program ends, we will only provide rewards to referrers for referees referred before the program's end date. Mews will not provide rewards to referrers for referees referred after the program's end date (however, Mews may, at its sole discretion, decide otherwise). 

12. Other Terms

Mews may limit the number of referees that each referrer may refer to Mews.  

Mews may also specify the maximum number of rewards available to all referrers participating in the referral program. 

13. Violation

We may disqualify the referrer at any time from participation in the referral program if we have a good faith belief that they violated these Terms.  

14. Limitation of Liability

In no event will we be liable to the referrer, referee, or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for lost profits, business interruption, loss of information, or loss of business opportunity, arising out of or in connection with the referral program or these terms.

Our total aggregate liability arising out of or in connection with the referral program and these terms will not exceed the total amount of rewards paid or owed to referrer under the program during the twelve (12) month period prior to the event giving rise to the liability, or 500 EUR, whichever is higher. This clause applies also to referee. The above limitations of liability apply to the fullest extent permitted by law in the applicable laws.

15. No warranty

Referrer and referee understand and agree that (a) the participation in the referral program is at their sole risk (b) the referral program is provided on an “as is” and “as available” basis without warranty of any kind. Without limiting the foregoing, to the full extent permitted by applicable law, we explicitly disclaim all express and implied, statutory, or otherwise, conditions, representations, and warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no express representations or warranties regarding our referral program, documentation, information or any content.

16. Indemnification

The referrer agrees to defend, indemnify, and hold Mews and any of its affiliates, together with their respective employees, directors, officers, licensees, licensors, shareholders, and attorneys, harmless from and against all claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys' fees) arising out of or in connection with their participation in the referral program. 

17. Privacy

All personal information collected and processed as part of our referral program will be used in accordance with Mews Privacy Policy. 

Referrer and referee represent and warrant that all personal data each of them provide to Mews are correct and up to date. Mews may monitor use of the referral program by referrer.  

18. Our Relationship

These Terms do not establish a partnership or joint venture between the referrer and Mews, or between the referee and Mews. They also do not designate either party as the agent of the other or authorize either party to make commitments or legally bind the other. 

19. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, without regard to the principles of conflict of laws. Any disputes arising from or related to these Terms, our referral program, or any rewards will be resolved by Dutch courts. 

20. Changes to these Terms 

We may from time to time to amend these Terms
